1. Introduction
EatsTown.com (“EatsTown”, “the Platform”, “we”, “us”) is an e-commerce platform operated and managed by WebPaCol LLC, registered in the State of Pennsylvania, United States.
The purpose of the Platform is to provide food businesses (“Vendors”, “Commercial Users”, “Stores”) with a digital tool to sell their products, manage orders, and facilitate transactions with customers.
By registering, accessing, or using the Platform, you agree to be legally bound by these Terms and Conditions, as well as by our Privacy Policy and any other applicable internal policies.
If you do not agree with any of these terms, you must not use the Platform or its related services.
2. Acceptance of the Terms
The use of EatsTown.com implies full and unconditional acceptance of:

All internal policies and regulations applicable to Vendors and Customers.

Any future updates or modifications to these Terms.
These Terms are governed by the laws of the State of Pennsylvania, including regulations applicable to electronic commerce, contracts, and consumer protection.
3. Conditions of Use for Vendors
3.1 Registration
To use the Platform as a Vendor, you must:

Provide truthful, legal, and verifiable information.

Own or operate a legally authorized food business with valid licenses.

Provide copies of permits, health licenses, and any documentation required by state and municipal law.
EatsTown reserves the right of admission and may reject or cancel accounts that do not comply with legal requirements, health regulations, or quality standards.
4. Plans and Financial Conditions
4.1 Trial Period
Vendors receive a six (6) month free trial period, during which they may use the Platform without monthly charges.
During this period, EatsTown will provide the business, at no cost:

One configured tablet.

One configured printer for orders or receipts.
All equipment remains the property of WebPaCol LLC and is provided on a loan-for-use basis for the duration of the service.
4.2 Service Renewal
Once the trial period ends, the Vendor may:

Cancel the service, or
-
Continue under a renewable 6-month contract.
The cost of the service after the trial period is $600 USD per month.
Full monthly payment must be made prior to service activation or renewal.
4.3 Mandatory Equipment Return
If the Vendor chooses not to renew or cancels the service:
-
The tablet and printer must be returned in perfect physical and working condition.
If the equipment is not returned or is returned damaged:
-
A charge of $1,500 USD will apply,
-
Said amount may be deducted from the Vendor’s platform balance, and/or
-
Collected through contractual collection methods.
EatsTown may withhold funds accumulated in the Vendor’s account until the outstanding balance is fully covered.
5. Payment Methods and Fund Withdrawals
5.1 Customer Payments
Customers may pay for their orders on the Platform using:

Credit or debit cards through PayPal Checkout.

Cash payments, if the Vendor chooses to allow it.
The Vendor acknowledges that payments processed through third-party platforms may involve:

Fees,
-
Commissions,
-
Withholdings, and
-
Settlement timelines established by those platforms.
EatsTown does not control or modify such fees.
5.2 Vendor Fund Withdrawals
Vendors may withdraw available earnings from their Platform balance through:

CashApp
-
Zelle
-
PayPal
All withdrawal platform fees are the responsibility of the Vendor.
Withdrawals may be requested at any time, provided that:

The Store is closed or outside active operating hours.
-
There are no disputes or fraud investigations in progress.
-
There are no funds withheld due to contractual non-compliance.
EatsTown assumes no responsibility for processing delays.
6. Deliveries / Delivery Services
EatsTown’s centralized delivery logistics system is currently under development and may be activated in the future.
Access to this service will be subject to:

Internal policies,
-
Geographic availability,
-
Business validation,
-
Health and safety compliance.
EatsTown reserves the right to limit or cancel delivery access without prior notice.
7. Legal Compliance and Health Regulations
The Vendor declares that:

Their business complies with all applicable state and federal health regulations.
-
They possess valid licenses required in Pennsylvania (and applicable municipalities).
-
They maintain appropriate hygiene and food safety standards.
EatsTown is not responsible for:
-
Health violations,
-
Food poisoning incidents,
-
Medical complaints,
-
Illegal food practices,
-
Adulterated products,
-
Non-compliance with local or state inspectors.
Any violation may result in immediate suspension or permanent removal from the Platform.
8. Platform Ownership
All software, branding, design, content, graphical interface, API, and functionalities of EatsTown.com are the exclusive property of:
WebPaCol LLC – Pennsylvania, USA
The Vendor receives only a limited, non-exclusive, revocable license to use the Platform, with no right to sublicense.
It is strictly prohibited to:

Copy or modify the system,
-
Distribute or reproduce it,
-
Hack or interfere with its infrastructure,
-
Extract data in violation of Platform policies.
9. Right of Admission and Account Termination
EatsTown reserves the right to admit, suspend, or terminate accounts without obligation to provide justification in cases involving:

Fraudulent or abusive use,
-
Contractual breaches,
-
Falsified information,
-
Damage to brand reputation,
-
Risk to customers or public health,
-
Legal non-compliance.
10. Limitation of Liability
EatsTown shall not be liable for:

Loss of sales,

Inventory losses,
-
Technical failures,
-
Indirect or incidental damages,
-
Payment processor errors,
-
Internet or power outages,
-
Vendor operational or staff errors.
In no event shall EatsTown or WebPaCol LLC be liable for amounts exceeding the total fees paid by the Vendor during the active contractual term.
11. Privacy and Data
Use of the Platform implies acceptance of our Privacy Policy, which governs:

Personal data handling,

Customer data,
-
Order information,
-
Digital security measures.
EatsTown complies with applicable Pennsylvania privacy regulations and standard digital security practices in the United States.
12. Governing Law and Jurisdiction
This Agreement shall be governed exclusively by:

The laws of the State of Pennsylvania,

Applicable commercial regulations,
-
Electronic commerce and contract standards.
Any disputes shall be resolved in the appropriate state courts of Pennsylvania.
13. Modifications to the Terms
EatsTown may modify these Terms at any time.
Changes will become effective once published on the Platform.
Continued use of the service constitutes acceptance of such modifications.
